What is the AI consulting engagement like?

Basic Client Contract

This Agreement is for AI consultant services made on [date] ("Effective Date") between [Name] (“Client”) and [Name], located at [Address] (“Company”).
1. Definitions
(a) "Services" shall mean all AI consultancy services provided by Company to Client.
2. Term
This Agreement is in effect as of the Effective Date and shall continue until the completion of the Services.
3. Engagement
Company shall provide the following services to Client:
• Develop and implement AI solutions to support the Client’s goals and objectives.
• Utilize Machine Learning models and techniques to optimize business processes.
• Analyze data, develop predictive models and simulations.
• Advise and guide on implementing AI related technologies.
• Develop marketing and promotional plans and strategies to increase reach and brand visibility.
4. Fees
The services shall be provided at an agreed fee of 10,000 USD. Payment will be due in two installments; the first 50 percent upon signing this agreement, the second 50 percent on the completion of the Services.
5. Ownership of Deliverables
Any and all deliverables made or created for Client by Company during the performance of this Agreement are deemed a work for hire and the property of Client. All rights, titles and interests, including without limitation all copyrights, patents, trademarks and other proprietary rights to all deliverables, with the sole exception of any third-party software or technology incorporated therein, shall be and remain the exclusive property of Client.
6. Confidentiality
Company will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Company, or divulge, disclose, or communicate in any manner any information that is proprietary to Client. All materials and information provided by Client to Company shall be treated as confidential.
7. Warranties
Company represents, warrants, and covenants that the Services shall be performed in a diligent, skillful and timely manner, in accordance with the highest professional standards.
8. Limitation of Liability
The total cumulative liability of Company to Client arising out of this Agreement, under any theory of law, shall not exceed the Fees incurred by Client for Services provided.
9. Dispute Resolution
In the event of a dispute between Company and Client concerning this Agreement or any of its terms, the parties agree to first attempt to resolve the dispute through nonbinding mediation.
10. General Provisions
This Agreement contains the entire agreement between the parties concerning the subject matter hereof and supersedes all prior understanding, commitments, agreements, representations and warranties, both oral and written, relating to any and all work to be performed by Company.
